Corporate governance and commercial law

We provide professional legal services in corporate and commercial law to many Mexican and foreign clients; for their daily corporate needs and operations of great magnitude and complexity.

Regarding corporate governance: we carry out an initial diagnosis and design the ideal structure for every organization. Likewise, we elaborate the operational rules of the governing bodies, the adviser’s profiles, the manuals for the chairman and secretary, the succession plan and, we give accompaniment at the beginning of the board meetings.

Regarding family businesses: we carry out an initial diagnosis, elaborate a family protocol, create a family council, and design and carry out the office. We also establish the succession plan and prepare the shareholder agreement.

TAX

We provide advice on the design and implementation of tax structures for all types of national and international operations. Likewise, we have extensive experience in estate planning and handling tax disputes and litigation.

Capital markets

We provide advice on public and private offerings of debt and equity instruments, issuance of stock certificates, asset securitizations, bank capitalization instruments, and development capital certificates (known as CKDs).
